The Merger Agreement Proposal was approved by the requisite vote of the Company’s stockholders with 61.53% of the issued and outstanding shares represented virtually or by proxy. The proposal to approve the adjournment of the Special Meeting to a later date or dates was not voted on because there were sufficient votes to approve the Merger Agreement Proposal. As of the close of business on May 28, 2026, there were 257,693,347 issued and outstanding shares of the Company’s common stock, par value $0.001 per share, entitled to vote at the Special Meeting.
